SPACE RESERVATION CONTRACT
Hatton-Brown Publishers, Inc.

Timber Expo Southeast• Friday & Saturday -- April 17-18, 2009 • Baxley, Georgia

This agreement is made between Hatton-Brown Publishers, Inc., on behalf of Timber Expo Southeast, hereinafter called EXPO, and ________________________________________________________ hereinafter called EXHIBITOR, witnesseth: IN CONSIDERATION of mutual covenants herein set forth, EXPO and EXHIBITOR contract as follows:

1. EXPO will permit the EXHIBITOR to use space designated as Static/Tent Booth No.(s) _______________ and/or Live Demo Site No.(s) ________________ subject to the expressed conditions enumerated herein. EXPO reserves the right to declare this agreement null and void upon any violation by the EXHIBITOR of any condition, expressed or implied, in the Rules and Regulations incorporated herein or included in the EXPO Exhibitor Guide:

a. The above described exhibit shall be completed for viewing by 6:00 p.m. Thursday, April 16, 2009, and shall remain intact until 5 p.m. Saturday, April 18, 2009. Live Demo EXHIBITORS may begin construction or installation on Wednesday, April 8, 2009. Static and tent EXHIBITORS may begin occupying space Monday, April 13, 2009. All EXHIBITORS agree to have all exhibit materials and equipment removed from the EXPO site by 6 p.m. Monday, April 20, 2009.

b. The EXHIBITOR shall neither sell nor dispense any food or drink (except for water, small pieces of candy, peanuts and popcorn); nor permit the sale or free distribution on rented space and premises of the EXPO site any intoxicating liquors or malt beverages and shall not do or permit any obnoxious or offensive activity or fraudulent sale of gifts, or any activity endangering any property or persons; nor shall the EXHIBITOR undertake or allow any activity whatsoever that shall constitute a nuisance as is defined by the laws of the State of Georgia. The EXHIBITOR agrees to not sublet any portion of space it rents without the expressed written contract of Hatton-Brown Publishers.

c. All laws, rules or regulations of the State of Georgia are accepted as aforesaid as part of the agreement and shall be compiled with.

d. EXPO's agreement to permit the EXHIBITOR's use of the space specified above shall be subject to acts of God or any condition or circumstance beyond the control of EXPO which shall prevent the carrying out of some or all of EXPO. Upon the occurrence of such event, EXPO shall have the right to terminate this agreement without liability of any nature.

e. EXPO reserves the right to cancel this contract for any breach by EXHIBITOR of any of its terms. Any payment made by EXHIBITOR on account hereafter will be retained by EXPO and EXPO may there upon re-rent/dispose of space at its absolute discretion.

f. EXPO reserves the right to reject and/or prohibit EXHIBITORS which EXPO considers objectionable, or to relocate exhibits or EXHIBITORS when in EXPO management's opinion that such moves are necessary to maintain the character and/or good order of the show.

2. The EXHIBITOR hereby promises and agrees:

a. To pay EXPO the total sum of $ ________________ . Half of this total sum is due with signed contract; balance is due February 27, 2009. NOTE: No refunds will be made for cancellations after December 31, 2008.

It is further agreed by the parties hereto as follows:

Neither EXPO nor its agents or employees shall be liable for any damage to the property of or loss of business to EXHIBITOR, or any loss by theft, or damage by fire, acts of God, or other means, or for any injuries to EXHIBITOR'S employees, agents, customers or guests, arising from any cause of matter whatsoever, even though occasioned, caused or contributed to by negligence of EXPO or its employees or agents. The EXHIBITOR, on behalf of itself, its employees and agents, agrees to protect, indemnify, and hold harmless EXPO and its agents, from all costs, losses, damages and expenses, including court costs and attorney fees, and other expenses of litigation arising out of or from any accident or other occurrence in connection with the use or occupation by the EXHIBITOR of its rental space on EXPO grounds causing injury to any person or property whomsoever or whatsoever, even though occasioned, caused or contributed to be negligence of the EXHIBITOR, EXPO or its agents, employees, or owners of property on which EXPO activities are conducted.

c. The EXHIBITOR shall be responsible for any or all damage to the EXPO site and its property therein caused by acts of the EXHIBITOR, its agents, employees, servants, patrons or guests, whether accidental or otherwise; and the EXHIBITOR further agrees to leave the property in the same condition as existed when its possession commenced. In event of damage, the EXHIBITOR agrees to pay to EXPO such sum as may be necessary to restore the property to the former condition as existed on the date possession began.

d. The EXHIBITOR agrees to cut and process trees in accordance with the harvesting and handling procedures established by Hatton-Brown Publishers and/or its representatives.

e. The EXHIBITOR warrants that it has in effect and shall maintain for the period of this agreement for the mutual benefit of both parties a policy of general liability insurance, against claims for personal injuries or death, or damage to property occurring upon, in or about the herein rented premises, in limits not less than $1 million for live equipment demonstration spaces and not less than $500,000 for static and tent display spaces. EXHIBITOR agrees to secure a rider for said general liability policy that extends like coverage to these additional parties: Hatton-Brown Publishers, Inc., EXPO sponsor; Timber Expo Southeast; Charles Burkhardt; Mr. Lewis Parker and Mr. Bill Parker, owners of the property on which EXPO is held. Period of coverage for said rider is four days before and three days after EXPO (April 13-21, 2009). Proof of liability insurance must be submitted to Hatton-Brown Publishers, Inc. on or before March 1, 2009. EXHIBITOR cannot occupy the space reserved until this requirement is fulfilled and full payment has been made for exhibit space.

f. In the event of any dispute arising out of this contract, such dispute shall be settled by arbitration in accordance with the rules of and held by the American Arbitration Association. All fees associated with the Arbitration shall be split equally between the parties while each party shall remain solely liable for their own attorney's fees. Such Arbitration shall be conducted in Montgomery County, Alabama. This contract shall be construed by the laws of the State of Alabama.
